Our Tax, Business Law, and Estate Planning Practice

We offer comprehensive counsel to individuals, business owners, and businesses in Colorado, handling a wide range of legal issues.

Business Entities

We will help you determine the most effective structure for a business entity, which could include:

  • Proprietorship
  • Corporation
  • Limited liability company
  • Partnership with a formal partnership agreement
  • Retirement plans

During the initial consultation, we will discuss the tax aspects of the various forms of entities and what would make the most sense for your business. After you decide what would work best for you, we will prepare the required documentation to form that entity. We are also available to discuss and prepare exit strategy documents for corporations, limited liability companies, and partnerships.

We not only form and dissolve entities, but we are also available to represent business owners and businesses by way of preparing meeting minutes, reviewing contracts, and providing tax guidance.

Commercial Contracts

We will negotiate, review, and prepare various contracts that you need to conduct your business. Those include:

  • Lease agreements
  • Employment contracts
  • Confidentiality and non-compete contracts

Estate Planning

When we develop your estate plan, we will start by gathering information about your financial circumstances, your family situation, and your goals. We will develop your estate planning documents to carry out your goals while minimizing federal estate taxes and Colorado inheritance taxes. We will discuss whether it would make sense to consider making gifts during the course of your life time.

Once you have determined the form of your estate planning documents, we will prepare a draft of those documents and send them to you for your review. After you have had the opportunity to review the documents and advise us of changes that you desire, those changes will be made and a final meeting will be held to review and sign the documents.
The documents we often draft include:

  • Wills. Depending on the circumstances, you may or may not need a qualified terminable interest property trust, marital trust, bypass or disclaimer trust, or generation skipping trust.
  • Revocable living trusts
  • Irrevocable life insurance trusts, trusts for minors, charitable remainder trusts, and special needs trusts
  • Durable financial powers of attorney
  • Durable health care powers of attorney
  • Health care directives

After an individual’s death, we will prepare any necessary documents for probate and/or the transfer of assets. We will also be able to help close an estate.
